1. Parties

This Agreement is entered into between PALMSERVE TECHNOLOGIES (“the Platform”) and any individual or entity using the PALMSERVE App (“Customer” or “Provider”).

2. Role of the Platform

PALMSERVE is a digital advertising and booking marketplace facilitating visibility, connections, and secure payments between independent users. PALMSERVE is not an employer, agent, guarantor, or insurer of any user. Providers operate as independent contractors solely responsible for their conduct and services.

3. Global Scope

This Agreement applies worldwide to all activities and users of the PALMSERVE platform. By using PALMSERVE anywhere in the world, users accept these global terms and conditions.

4. Governing Law

Unless prohibited by mandatory local law, this Agreement is governed by the laws of the Federal Republic of Nigeria. PALMSERVE may also enforce applicable laws of a user’s local jurisdiction as necessary.

5. Jurisdiction & Dispute Resolution

Disputes shall be resolved through binding arbitration, conducted in English or another agreed language. Arbitration venue: Lagos, Nigeria, or a virtual arbitration panel designated by PALMSERVE. Arbitration outcomes are final and binding.

6. Liability Limitation

PALMSERVE’s liability is limited to the aggregate platform fees paid by a user within the preceding twelve months. PALMSERVE is not liable for losses, damages, or injuries caused by any provider, customer, or third party. PALMSERVE shall not be responsible for indirect, incidental, or consequential damages under any circumstances.

7. Indemnity

Users agree to indemnify, defend, and hold harmless PALMSERVE TECHNOLOGIES, its founders, employees, and affiliates against all claims, damages, and liabilities arising from misuse of the platform, violation of laws, breach of this Agreement, or acts and negligence by providers or customers.

8. Provider & Customer Conduct

Providers must comply with all applicable local laws regarding licensing, taxation, health, and safety. Customers must provide safe, respectful conditions. PALMSERVE is not responsible for any illegal or unethical acts by users.

9. Harassment, Abuse, or Misconduct

Proven misconduct triggers immediate suspension and possible legal reporting. PALMSERVE may cooperate with law enforcement but is not a party to personal or civil disputes.

10. Job Completion & Payment

A job is complete when marked by the provider. The customer has 5 minutes to raise a dispute. If no dispute is raised, payment is released automatically to the provider. Repeated or false disputes may lead to suspension or account termination.

11. Payment Terms

Payments are processed through licensed payment partners. Providers receive 90% of booking fees; PALMSERVE retains 10%. The user platform service fee (3%) is non-refundable. Taxes and levies are deducted where applicable.

12. Cancellations & Refunds

Customer cancellations shortly after booking are refundable minus the 3% non-refundable fee. Provider cancellations result in a 100% refund to the customer. No-shows: Provider fails → Full refund to customer.

13. Tax Compliance

PALMSERVE deducts and remits VAT, WHT, or equivalent taxes as required. Providers must file their own taxes in their country of residence.

14. Insurance Disclaimer

PALMSERVE does not provide insurance. Providers must secure personal or business insurance where required by law.

15. Force Majeure

PALMSERVE is not liable for failures caused by force majeure events such as natural disasters, civil unrest, system outages, or government restrictions.

16. Child Protection

All services involving minors must adhere to child-protection laws of the location and require parental consent.

17. Non-Liability Clause

PALMSERVE TECHNOLOGIES, its management, and staff are fully indemnified and protected from any claim, injury, damage, or legal action arising from provider or customer misconduct, service quality or non-performance, personal or property loss, or illegal acts committed by users. All liability rests solely with the individual user who performed or requested the service.

18. Acceptance

By downloading, registering, or using PALMSERVE anywhere in the world, you confirm that you have read and accepted these terms; agree to follow local laws; and release PALMSERVE TECHNOLOGIES, its staff, and owners from any liability related to services or user behavior on the platform.
